By creating an account and using ShelfSignal, you grant ShelfSignal a non-exclusive, royalty-free, worldwide license to use your company name and company logo (if provided) in ShelfSignal's website, marketing materials, sales collateral, and social media channels for the sole purpose of identifying you as a ShelfSignal customer (e.g., in "Used by," "Trusted by," "Our customers," or similar sections).

This license is limited to identifying you as a customer and does not permit ShelfSignal to make any false claims about your business or endorse any specific products or services. ShelfSignal will display your brand name and logo in a professional manner consistent with reasonable brand guidelines.

You may revoke this license at any time by emailing support@shelfsignal.ai with the subject "Logo License Revocation." Revocation will take effect within 14 business days.

4. Subscription & Payment

ShelfSignal offers paid subscription plans. By subscribing:

Payments are processed by Stripe, Inc. By providing payment information, you also agree to Stripe's terms of service. ShelfSignal does not store your full payment card details.

5. Data Rights & Ownership

Your data: You retain all ownership rights to data you provide to ShelfSignal, including product URLs, collections, and any proprietary information you input into the Service.

Review data: Product review data collected by ShelfSignal is sourced from publicly available retail websites. ShelfSignal does not claim ownership of such data, and provides access to it as part of the Service.

Usage data: ShelfSignal may collect anonymized, aggregated usage data to improve the Service. This data does not personally identify you.

Upon account termination, you may request a data export within 30 days by emailing support@shelfsignal.ai.

6. Intellectual Property

The Service, including its software, design, algorithms (including Signal Score™), and all content created by ShelfSignal, is owned by ShelfSignal and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.

7. Third-Party Services

ShelfSignal integrates with third-party services including Stripe (payments) and Google (authentication). Your use of these integrations is subject to the respective third-party terms and privacy policies. ShelfSignal is not responsible for the practices of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SHELFSIGNAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Review data accuracy depends on third-party retailer websites. ShelfSignal does not guarantee the completeness, accuracy, or timeliness of review data collected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHELFSIGNAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM.

SHELFSIGNAL'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SHELFSIGNAL IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless ShelfSignal and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. You may cancel your account through the Settings page or by emailing support@shelfsignal.ai. ShelfSignal may suspend or terminate your access if you violate these Terms, with or without notice.

Upon termination: (a) your right to access the Service ceases immediately; (b) ShelfSignal may delete your data after 30 days; (c) provisions that by their nature should survive termination (including Sections 3, 6, 8, 9, 10, 13) shall survive.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
